Orono Boys High School Hockey Booster Club Bylaws

 Article 1 - Offices

The principal office of the corporation at the time of adoption of these bylaws is located at 1025 Old Crystal Bay Road Long Lake MN 55356. The corporation may have offices at such other place within Minnesota as the Board of Directors determine from time to time.

Article 2 - Nonprofit purposes

2.1 The Corporation is organized exclusively for one or more of the purposes as specified in section 317 of the Minnesota Statutes and section 501(c) 3 of the Internal Revenue Code. The Booster Club will follow parliamentary rules. The Booster Club will be a non-profit 501(c) 3 Corporation.

2.2 The Booster Club’s mission is to assist and support the coaches and administrators of the Orono High School Boys’ Varsity and Junior Varsity Hockey Program thorough financial contribution, organizational activities, and positive encouragement to all team members to ensure that each and every student-athlete has the most successful athletic experience possible.

 Article 3 - Membership

 3.1 There shall be two types of membership. Membership in the Orono Boys High School Hockey Booster Club will be extended to any person wishing to be a member. Membership may or may not include voting privileges depending on the classification of membership. All Parents/Guardians of rostered players participating in the Orono High School Boys’ Varsity and Junior Varsity Hockey Teams are voting members of the Booster Club. Any person wishing to support the program may also be a non voting member of the Booster Club. An annual contribution of $50 will be requested from each non voting person and or family.

3.2 All Parent/Guardian members are required to serve on a volunteer committee each season. Membership is contingent on payments of annual dues and continuing adherence to all rules and regulations as set forth in the bylaws.

Article 4 - Board of Directors

The business of booster club shall be managed by the Board of Directors (hereafter, referred to as the “board members”). The Board of Directors will consist of four or five elected officers, an appointed Board Member representing the Orono Youth Hockey Program, and the Orono High School Boys’ Varsity Hockey Head Coach. Each board member will have one vote. Board Members include:

PRESIDENT and/or CO-PRESIDENTS:

4.1 Presides at membership meetings and acts as a liaison between boosters and coaches/school administrators. Ensures organizational business is being conducted as planned and as required by the bylaws. The President shall use best efforts to see that all Board positions and committee positions are filled.

VICE PRESIDENT:

4.2 Acts as President in the absence of the President/Co-President and assists in conducting the affairs of the organization. Coordinates and manages all activities relative to fundraising.

TREASURER:

4.3 Maintains the organization’s checking account and cloud based electronic financial records. Keeps an itemized account and hard copies of all receipts and disbursements, pays all bills as authorized by the board and makes a financial report at the end of each month to board members and at regular board meetings. Also recommends an annual budget to the board for approval.

SECRETARY:

4.4 Records the proceedings of the organization and preserves all records and communications. Maintains mailing lists and rosters, produces and distributes notices of meetings and events to members and distributes minutes of regular board meetings to members. The Secretary will oversee the year end election process as directed by the board and these bylaws.

APPOINTED BOARD MEMBERS:

4.5 YOUTH HOCKEY REPRESENTIVE. A representative from/or to the Orono Youth Hockey Program shall be appointed by the president within a reasonable time of the annual election meeting.

Article 5 – Annual Meeting

The annual meeting of the booster club shall be held the first week in May each year. The purpose of this meeting shall be the reporting of election results of officers for the upcoming year. The outgoing President or Treasurer will report on the financial conditions of the booster club and any other transactions which may properly come before the meeting.

Article 6-Regular Board Meetings

Regular board meetings shall be held at least once every other month from September to March. All regular board meetings shall be open to the membership. Membership will receive electronic notice of the meeting at least 5 days ahead of the meeting date. A quorum for the purpose of conducting business shall be voting member of the Board of Directors in attendance. There will be no voting by proxy. Motion for action may be recognized and/or seconded by any board member present at any regular meeting. Each board member is entitled to one vote at regular board meetings.

Article 7 – Voting and Elections

7.1 The electronic election results of voting members for the upcoming year’s officers shall be presented to the membership at the annual meeting. Elections will be conducted by electronic ballot sent to each eligible voting member. The Secretary along with the board will oversee the electronic election process to ensure reasonable time for members to vote and the proper receiving and counting of the votes by at least two board members not running for re-election. If two (non-running) board members are not available the board will appoint two outside third parties to receive and count the votes.

7.2 For the purpose of the year end election, only parents and guardians of rostered returning varsity and JV players are allowed to vote. Parents and Guardians of outgoing senior players are not allowed to vote in the annual election.

Article 8 - Term Limits

No person shall be eligible to run for or hold the same board position that person has held previously for two years either consecutively or none consecutively.

Article 9 – Amendment of By-Laws

The Board of Directors shall have authority to make, amend, alter, change or appeal any provision contained in the by-laws subject, however, to reasonable notice to the membership for comment.
